These website Terms are separate from any Agent Agreement or service agreement you sign with WPF for transaction coordination. If you engage our professional services, that written service agreement controls the services engagement. If there is a conflict between these website Terms and a signed Agent Agreement / service agreement regarding the services engagement, the signed agreement controls for that engagement. By accessing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Website. 1. Eligibility The Website is intended for individuals 16 years of age or older (consistent with our existing site policies) and for real estate professionals and related business users. You represent that you have authority to enter these Terms. 2. Services overview WPF provides independent transaction coordination and related support services for REALTORS® and brokerages in markets we serve (including Florida, Georgia, Idaho, and Washington). Descriptions on the Website are informational. Actual services, fees, and responsibilities are defined in your service agreement / Agent Agreement and onboarding materials. 3. Website use You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not: - Attempt to gain unauthorized access to systems, accounts, or data; - Interfere with Website security or operations; - Scrape, harvest, or misuse content or contact information; - Submit false, infringing, or unlawful content; - Upload malware or harmful code; - Impersonate WPF or another person. We may suspend or terminate access for violations or for operational reasons. 4. Accounts and submissions If you submit forms, documents, or other materials, you are responsible for the accuracy and legality of what you submit, including third-party information. You grant us a non-exclusive license to use submitted materials as needed to respond to your request and provide services. 5. Intellectual property Website content, branding, and materials are owned by WPF or its licensors and are protected by intellectual property laws. You may view and print limited copies for personal, non-commercial use related to evaluating or using our services. You may not copy, modify, distribute, or create derivative works without our prior written consent, except as allowed by law. 6. Third-party tools and links The Website may integrate or link to third-party tools (scheduling, forms, payments, social media, etc.). Third-party terms and privacy policies apply to those services. Limitation of liability TO THE FULLEST EXTENT PERMITTED BY LAW, WPF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE WEBSITE OR INABILITY TO USE IT, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE WEBSITE UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID TO US (IF ANY) FOR WEBSITE-RELATED ACCESS IN THE THREE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER. Liability for paid transaction coordination services is governed by your signed service agreement / Agent Agreement, not this website liability cap, except where that agreement incorporates these Terms. 9. Indemnification You agree to defend, indemnify, and hold harmless WPF and its personnel from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Website, your violation of these Terms, or your unlawful submission of third-party information. 10. SMS Terms (text messaging program) 10.1 Program description WPF operates an SMS / text messaging program that may include: - Transaction coordination updates and file-related communications; - Consultation booking confirmations and reminders; - Onboarding and account communications; - Other service-related notices; - Marketing or promotional messages only if you separately opt in to marketing texts. 10.2 Opt-in method You may opt in by: - Checking an SMS consent box on a WPF web form or GoHighLevel form (unchecked by default); - Providing verbal consent that we log; - Texting a published keyword to our number (if offered); - Another clear affirmative method we provide. Providing your phone number alone is not consent for marketing texts. Transactional/service texts are sent only as permitted by law and your relationship with us. 10.3 Frequency Message frequency varies based on your activity (for example, upcoming consultations, active files, onboarding steps, or campaigns you join). 10.4 Rates Message and data rates may apply. 10.5 STOP and HELP - Reply STOP to cancel. Supported carriers may change over time. 10.7 Privacy Mobile information and SMS opt-in data are handled as described in our Privacy Policy, including that we do not share or sell mobile opt-in data to third parties or affiliates for their marketing. You must be 18 years of age or older to opt in to or participate in our SMS program. 11. Changes We may update these Terms by posting a revised version with a new “Last Updated” date. Continued use of the Website after changes constitutes acceptance, except where additional consent is required by law. 12. Governing law and disputes These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Exclusive venue for disputes arising from these website Terms lies in the state or federal courts located in Georgia, except where prohibited by law. 13. Severability; entire agreement (website) If any provision is found unenforceable, the remaining provisions remain in effect. These Terms, together with the Privacy Policy and any additional posted website terms, are the entire agreement regarding Website use.
